Administrator, Company Secretarial (12 months Maternity Cover)

Job Description

Policy Overview:

This role will be responsible for day-to-day Company Secretarial services to an allocated client base, such as arranging and attending client board meetings, taking minutes, maintenance of corporate records and performing general administrative duties to ensure that their clients receive consistent high-quality service.

Key Responsibilities:

Corporate Governance:

  • Assist in the preparation and organization of board meetings, ensuring all necessary documentation is distributed in a timely manner.
  • Maintain an accurate record of board decisions and resolutions.
  • Support the implementation of corporate governance policies and practices.

Regulatory Compliance:

  • Stay abreast of changes in company law and regulations and ensure the company's compliance.
  • Prepare and submit statutory filings to regulatory authorities.
  • Monitor and update internal policies to reflect changes in regulations.

Record Keeping:

  • Maintain and update the company's statutory registers and records.
  • Ensure proper documentation and filing of important corporate documents.
  • Respond to requests for information from internal and external stakeholders.

Communication and Liaison:

  • Act as a liaison between the company and regulatory bodies.
  • Facilitate communication between the board of directors, management, and shareholders.
  • Provide support in drafting and reviewing legal documents.

Annual Compliance Calendar:

  • Develop and maintain an annual compliance calendar to ensure all regulatory obligations are met.
  • Coordinate with relevant departments to gather necessary information for compliance requirements.

Training and Awareness:

  • Provide training to employees on corporate governance practices and compliance requirements.
  • Foster a culture of compliance within the organization.

Qualifications and Skills:

  • Bachelor's degree in Business Administration, Law, or a related field.
  • Proven experience in a company secretarial or corporate governance role.
  • Strong understanding of corporate laws, regulations, and governance principles.
  • Excellent organizational and time-management skills.
  • Exceptional attention to detail and accuracy.
  • Effective communication and interpersonal skills.
  • Ability to work independently and as part of a team.
  • Proficiency in using relevant software and tools for document management.
